Welcome, and thank you for your interest in Riema Labs Inc., a company incorporated under the laws of the Cayman Islands (“Riema Labs,” “we,” or “us”), our website at https://infer.agentsey.ai/ and any related subdomains (collectively, the “Site”), along with our Agentsey API inference infrastructure and other services provided by us or our affiliates (collectively, our “Service”). These Terms of Service are a legally binding contract between you and Riema Labs regarding your use of the Service.

DISPUTE RESOLUTION: THESE TERMS REQUIRE THE USE OF BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

1. Service Overview / 服务概览

Riema Labs operates Agentsey, an AI inference infrastructure and model aggregator, where users may use the Site or our API interfaces to access third-party application programming interfaces (“APIs”) to use a variety of generative artificial intelligence models listed on the Site (“AI Models”).

Riema Labs (through the Agentsey platform) acts as an intermediary infrastructure provider; we do not develop, control, or own the third-party AI Models accessible through the Service. Riema Labs may add or remove AI Models from the Service at any time without prior notice.

2. Eligibility / 使用资格

You must be at least 13 years of age to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 13 years of age; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with all applicable laws and regulations.

您必须年满 13 周岁方可使用本服务。同意本条款即表示您向我们陈述并保证：(a) 您已年满 13 周岁；(b) 您此前未被暂停使用或移出本服务；且 (c) 您的注册及对本服务的使用符合所有适用法律法规。

3. Accounts and Registration / 账户与注册

3.1. Account Registration: To access most features of the Service, you must register for an account. You agree that the information provided is accurate and will be kept up-to-date.

3.2. Security Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials, password, and API Keys. You accept full responsibility for all activities that occur under your account. If you believe your account is no longer secure, you must immediately notify us at support@agentsey.ai.

3.3. Account Types: The Service supports Organizational and Individual accounts. An organizational account is managed by an Admin User who may invite and manage Authorized Users.

4. Payment / 支付条款

4.1. Pre-Paid Credits and Refunds: Access to the Service requires the purchase of pre-paid credits (“Credits”). Except as expressly stated otherwise, all purchases are final. Refunds for unused Credits may only be requested within twenty-four (24) hours of purchase. After such period, all Credits are non-refundable and non-transferable.

4.1. 预付额度与退款： 访问本服务需要购买预付额度（“额度”）。除另有明确规定外，所有购买均为最终行为。未使用额度的退款申请仅限在购买后二十四 (24) 小时内提出。超过该期限后，所有额度均不可退款且不可转让。

4.2. Credit Expiration and Auto-Recharge: Riema Labs reserves the right to expire any unused Credits 365 days after purchase. If you enable “Auto-Recharge,” you authorize Riema Labs to automatically charge your designated payment method when your balance falls below your specified threshold.

4.2. 额度过期与自动续费： Riema Labs 保留在购买之日起 365 天后使任何未使用额度过期的权利。如果您开启“自动续费”，即表示您授权 Riema Labs 在您的额度余额低于您设定的阈值时自动从您指定的支付方式中扣费。

4.3. Payment Processing and Cryptocurrency: Payments are processed through third-party providers (e.g., Stripe, Coinbase). If paying via Cryptocurrency, you represent and warrant that such funds do not constitute proceeds of any crime and you comply with all applicable AML and KYC regulations.

4.3. 支付处理与加密货币： 付款通过第三方提供商（如 Stripe、Coinbase）处理。如果使用加密货币支付，您陈述并保证该资金不构成任何犯罪所得，且您遵守所有适用的反洗钱及 KYC 规定。

4.4. Changes to Fees: Riema Labs reserves the right to change fees or credit consumption rates at any time with advance notice of material changes.

5. User Content / 用户内容

5.1. Ownership and AI Model Terms: You retain all ownership rights in your inputs (“Input”). Your rights to the generated outputs (“Output”) are determined by the specific terms of the third-party AI Model provider. Riema Labs does not claim ownership of your User Content.

5.2. Training Data Opt-Out: We do NOT use your User Content to train or improve third-party AI Models or our own proprietary algorithms.

5.3. Mandatory Infrastructure Logging: To ensure stability, security, and high-performance routing optimization, Riema Labs logs and stores all User Content (Inputs and Outputs) by default. By using the Service, you grant Riema Labs a worldwide, perpetual, non-exclusive, royalty-free license to host, store, and access your User Content solely for operational delivery, technical debugging, optimizing model routing, and preventing platform abuse.

6. Prohibited Conduct / 禁止行为

By using the Service, you agree NOT to:

使用本服务即表示您同意不从事以下行为：

• 6.1. Illegal Use & Crimes: Use the Service for any illegal purpose or in violation of any third-party AI Model Terms.
• 6.2. Identity & Abuse: Create a false identity or multiple accounts to bypass usage limits, or share your API Keys with unauthorized third parties.
• 6.3. Anti-Competition & Scraping: Access the Service to develop a competing service; or use automated technology to scrape proprietary information.
• 6.4. Reverse Engineering: Interfere with security features, reverse engineer, or attempt to discover the source code of any portion of the Service.
• 6.5. Red Teaming & Prohibited Content: Conduct any Red Teaming without prior written approval, or submit prohibited content.
• 6.6. Interference: Disseminate viruses or disrupt any network or server used to provide the Service.

7. Red Teaming and Security Testing / 红队测试与安全测试

Red Teaming is a violation of most AI Model Terms. Riema Labs allows Red Teaming ONLY for legitimate research purposes and requires prior written approval via support@agentsey.ai. Any unauthorized Red Teaming will result in immediate account termination and forfeiture of all remaining Credits.

红队测试违反了绝大多数 AI 模型的条款。Riema Labs 仅允许出于正当研究目的进行红队测试，且要求事先通过 support@agentsey.ai 获得书面批准。任何未经授权的红队测试都将导致账户被立即终止，且所有剩余额度将被没收。

8. Termination & Modification / 终止与服务变更

You may terminate your account at any time by contacting support@agentsey.ai. You remain responsible for all fees incurred prior to termination. If you violate these Terms, your access will terminate automatically, and any unused Credits will NOT be refunded.

您可以随时联系 support@agentsey.ai 终止账户。您仍须负责支付终止前产生的所有费用。如果您违反本条款，您的访问权限将自动终止，且任何未使用的额度将不予退款。

Riema Labs reserves the right to modify or discontinue the Service at any time, temporarily or permanently, with or without notice. For Enterprise customers, remaining Credits will be refunded within thirty (30) days of termination, unless terminated for a violation.

Riema Labs 保留在任何时间修改或停止服务的权利。对于企业客户，除非因违反本条款而被终止账户，否则剩余额度将在终止后三十 (30) 天内退还。

9. Privacy & Additional Terms / 隐私与附加条款

We process your personal information and usage data as described in our Privacy Policy. By using the Service, you agree to such processing.

我们按照《隐私政策》所述处理您的个人信息及使用数据。使用本服务即表示您同意此类处理方式。

10. Modification of these Terms / 条款的修订

For any material changes that affect your rights or obligations, we will provide you thirty (30) days' advance notice via email or an in-product notification. Your continued use of the Service following such notice constitutes your consent to these material changes.

对于涉及您权利或义务的重大修订，我们将提前三十 (30) 天通过电子邮件或产品内通知告知您。在收到通知后继续使用本服务，即视为您同意这些重大修订。

11. Ownership & Proprietary Rights / 所有权与知识产权

The Service is owned and operated by Riema Labs Inc. The visual interfaces, graphics, design, computer code, software, and all other elements of the Service (“Materials”) are protected by intellectual property and other laws. All Materials are the property of Riema Labs or our third-party licensors. Riema Labs reserves all rights not expressly granted in these Terms.

12. Feedback / 反馈授权

If you choose to provide suggestions or improvements regarding the Service (“Feedback”), you hereby grant Riema Labs an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, and royalty-free right to exploit the Feedback in any manner and for any purpose.

如果您选择就服务提供建议或改进意见（“反馈”），您特此授予 Riema Labs 一项不受限制的、永久的、不可撤销的、非排他的、已全额支付且免版税的权利，允许我们以任何方式、出于任何目的利用该反馈。

13. Confidentiality / 保密协议

“Confidential Information” includes all non-public technical, financial, or business information disclosed by either party. Each party shall protect the other's Confidential Information with reasonable care and disclose it only to personnel with a “need-to-know” basis.

“保密信息”包括任何一方披露的所有非公开技术、财务或商业信息。每一方均应以合理的审慎态度保护对方的保密信息，且仅向“有必要知晓”的人员披露。

14. Indemnity / 赔偿与保障

To the fullest extent permitted by law, you agree to defend and indemnify Riema Labs and its officers, directors, and employees from any claims, losses, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms or any law; (c) your violation of any third-party rights; or (d) any dispute between you and a third party.

在法律允许的最大范围内，您同意，若因以下原因导致 Riema Labs 及其高级职员、董事及员工遭受任何索赔、损失或开支，您将承担赔偿及辩护责任：(a) 您使用本服务的行为；(b) 您违反本条款或法律；(c) 您侵犯任何第三方权利；或 (d) 您与第三方之间的任何争议。

15. DISCLAIMERS; NO WARRANTIES / 免责声明与无担保

THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. RIEMA LABS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. RIEMA LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS.

本服务及通过本服务提供的所有材料和内容均按“原样”且“按可用性”提供。RIEMA LABS 不提供任何形式的明示或暗示保证。RIEMA LABS 不保证服务将是不间断的、安全的或无错误的。

16. LIMITATION OF LIABILITY / 责任限制

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL RIEMA LABS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF RIEMA LABS IS LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID IN THE SIX (6) MONTHS PRIOR TO THE EVENT; OR (B) $100.

在法律允许的最大范围内，RIEMA LABS 不对任何间接、附带、特殊、后果性或惩罚性损害承担责任。RIEMA LABS 的累计责任总额上限为以下两项中的较高者：(A) 您在事件发生前六个月内支付的服务费用总额；或 (B) 100 美元。

17. Governing Law & Jurisdiction / 管辖法律与司法管辖权

These Terms are governed by the laws of the Cayman Islands, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in the Cayman Islands.

本条款受开曼群岛法律管辖，不考虑冲突法原则。因本条款产生的任何法律诉讼或程序应专属提交至位于开曼群岛的法院。

18. General / 通用条款

• 18.1. Entire Agreement: These Terms, together with the Privacy Policy and any DPA, constitute the entire agreement between you and Riema Labs regarding the Service.
• 18.2. No Oral Modifications: These Terms may be amended only by a written agreement signed by authorized representatives.
• 18.3. Assignment: You may not assign or transfer these Terms without our prior written consent.
• 18.4. Severability: If any part of these Terms is held to be invalid, the remaining parts will remain in full force.
• 18.5. Survival: Provisions that by their nature should survive termination will remain in effect.

19. Dispute Resolution and Arbitration / 争议解决与仲裁

You and Riema Labs agree that every dispute arising in connection with these Terms will be resolved by binding arbitration. YOU UNDERSTAND AND AGREE THAT YOU ARE WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

您与 Riema Labs 同意，因本条款产生的所有争议均应通过具有法律约束力的仲裁解决。您理解并同意，您特此放弃通过陪审团审判或参加集体诉讼的权利。

Arbitration will be administered by the Cayman Islands International Arbitration Centre (CIIAC) or the Singapore International Arbitration Centre (SIAC), as determined by Riema Labs. The language of the arbitration shall be English.

仲裁由开曼群岛国际仲裁中心 (CIIAC) 或新加坡国际仲裁中心 (SIAC)（由 Riema Labs 决定）管理。仲裁语言应为英语。

20. Consent to Electronic Communications / 电子通讯同意

By using the Service, you consent to receiving electronic communications from Riema Labs. You agree that any notices, agreements, or other communications we send electronically will satisfy any legal communication requirements.

通过使用本服务，您同意接收来自 Riema Labs 的电子通讯。您同意我们以电子方式发送的任何通知、协议或其他通讯均满足任何法律通讯要求。
